1. Acceptance of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and Adruva Solution ("Company", "Adruva", "we", "us", or "our"), governing your access to and use of the Adruva SMM platform, software, APIs, and services located at https://adruvawebtest.online.

By creating an account, connecting any social media account, or utilizing any feature of the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the platform.

2. Account Registration & User Obligations

• Eligibility: You must be at least 18 years old or the age of legal majority in your jurisdiction to use our platform.
• Account Security: You are solely responsible for maintaining the confidentiality of your account credentials, passwords, and multi-factor authentication. You agree to immediately notify Adruva Solution of any unauthorized access or security breach.
• Responsibility for Activity: You assume 100% full legal responsibility for all activities, content creations, scheduling directives, and automated broadcasts executed under your account.

3. User Content & License to Operate

Your Ownership: You retain full copyright and ownership of all media, videos, photos, graphics, text, and marketing assets ("User Content") that you upload, compose, or schedule through Adruva SMM.

Operational License: In order to provide our scheduling and multi-platform publishing services, you grant Adruva Solution a worldwide, royalty-free, non-exclusive license to host, transcode, cache, format, display, and transmit your User Content solely to your authorized third-party social media accounts at your direction.

Content Representations & Warranties: You warrant and represent that:

• You own or have obtained all necessary licenses, permissions, and rights to broadcast your User Content.
• Your User Content does not infringe upon any third party's intellectual property, trademark, privacy, publicity, or moral rights.
• Your User Content does not contain malware, hate speech, defamatory material, or unlawful content.

5. Prohibited Activities

You strictly agree NOT to:

• Use Adruva SMM for distributing spam, unsolicited commercial broadcasts, phishing schemes, or abusive automated messaging.
• Reverse-engineer, decompile, copy, or exploit any portion of the Adruva SMM software, source code, or infrastructure.
• Circumvent or attempt to circumvent rate limits, security filters, API protections, or storage restrictions.
• Attempt to gain unauthorized access to other tenants' data, servers, or internal network endpoints.

8. Indemnification

You agree to defend, indemnify, and hold harmless Adruva Solution, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your User Content, uploaded assets, or published broadcasts;
• Your breach or alleged breach of any provision of these Terms;
• Your violation of any law, regulation, or third-party social media platform policy;
• Any third-party claim that your content caused copyright infringement or civil harm.

9. Suspension & Account Termination

Adruva Solution reserves the unilateral right, at its sole discretion, to suspend, disable, or permanently terminate your account and access to the platform immediately, with or without prior notice, if: (a) you violate these Terms; (b) your account exhibits abnormal traffic or spam behavior; (c) required by applicable law or third-party API enforcement; or (d) necessary to protect platform integrity.

10. Governing Law & Dispute Resolution

These Terms and any disputes arising out of or relating to them shall be governed by, construed, and enforced in accordance with the substantive laws of India, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be instituted exclusively in the competent courts located in India.
